Welcome to the Memory Chasers Car Club Web site ("Site" or “Web Site”) which is owned by Memory Chasers Car Club Ltd. (“MCCC”).

Scope and Applicability

MCCC has created this Site as a public service for your personal enjoyment, entertainment and education. However, you are only authorized to access this Site or to use the materials contained in the Site (regardless of whether your access or use is intended) if you agree to abide by all applicable laws, and to these Terms of Use which constitute an Agreement between you and MCCC.

These Terms of Use (the "Agreement") are applicable to the Web pages, services, content, databases and information (collectively, the “Services”) provided by Memory Chasers Car Club, Ltd. (“MCCC”) to which you may have access by using the Site from which you accessed this Agreement. The content and information included in these Services are provided by MCCC and its third party suppliers (collectively, the “Information Providers”). These Services are made available by MCCC subject to the terms and conditions of this Agreement.

Agreement

BY CONTINUING TO USE THE SERVICES, YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, MCCC IS NOT WILLING TO PROVIDE YOU WITH ACCESS TO THE SERVICES AND YOU SHOULD IMMEDIATELY DISCONTINUE YOUR USE OF THE SERVICES.

MCCC may modify this Agreement from time to time in its sole discretion and without notice to you. You should review this Agreement periodically to ensure familiarity with its then-current terms and conditions. Your continued use of the Services shall constitute your acceptance of this Agreement and your continued use of the Services following any modification of this Agreement shall constitute your acceptance of such modifications to this Agreement.

You may also be subject to additional terms and conditions that may apply when you use Services provided by entities other than MCCC on the Site from which you accessed this Agreement, or when you access any Services provided by MCCC from a Web site other than the one from which you accessed this Agreement.

Use of the Services

This Site is provided as a public service by MCCC. These Services are intended for your personal, non-commercial use. The Services (and the content and information included therein) are protected by copyright pursuant to United States laws and international treaties and are owned or licensed by MCCC or the Information Provider(s) credited. You shall abide by all copyright notices, information, or restrictions contained in any content or information accessed through the Services.

You agree not to reproduce, retransmit, disseminate, sell, distribute, perform, display, publish, broadcast, circulate, create new works from, or commercially exploit the Services (including the content and information made available through the Services), in whole or in part, in any manner, without the express written consent of MCCC, nor to use the content or information made available through the Services for any unlawful purpose. You agree to access the Services manually by request and not programmatically by macro or other automated means.

You may download or copy content or information displayed on the Services for personal use only, provided that you maintain all copyright and other notices contained therein. Copying or storing of any content or information from the Services for other than personal use is expressly prohibited without prior written permission from MCCC and/or the Information Provider credited.

User Conduct

You agree not to take any action that interferes with the proper working of the Web Site; imposes an unreasonable or disproportionately large load on the Web Site's infrastructure; might compromise the security of the Web Site; render the Web Site or the Service inaccessible to others; or otherwise cause damage to the Web Site or any Content contained on the Web Site. You agree not to add to, subtract from, or otherwise modify the Content on the Web Site except as expressly authorized by MCCC in these Terms of Use or by a written agreement between you and MCCC.

On some parts of the Web Site, you can post messages or express your comments on a given topic, or start a new topic to which others can respond. You agree not to upload, distribute, post or otherwise publish through the Web Site or the Service:

1. any information, data, text, software, photographs, graphics, messages, or other material ("Material") that infringes any patent, trademark, trade secret, copyright or other proprietary rights or rights of privacy or publicity of any party;
2. any libelous, defamatory, obscene, threatening, advertising, pornographic, abusive, or otherwise illegal Material;

If you post anything on the Web Site, you guarantee to us that you have the legal right to post your material and that it will not violate any law or the rights of any person or entity. By posting Material on the Web Site, you give MCCC the royalty-free, irrevocable, perpetual, worldwide right to use, display and create derivative works from this Material, in any and all media, in any manner, in whole or in part, without any restriction or responsibilities to you. You also acknowledge and agree that you are solely responsible for the content of any of your messages. Nevertheless, we reserve the right to delete, move, or edit messages in our sole discretion. You agree that any Material that you submit to the Service or the Web Site may be edited, removed, modified, published, transmitted, and/or displayed by MCCC, and you waive any and all rights you may have with respect to the alteration, modification, or removal of your Material. By using the Web Site, you understand and agree that MCCC is not responsible for the truth, completeness, objectivity or usefulness of any third-party posting, nor does MCCC endorse any posting. By viewing third-party postings, you assume the risk of believing or disbelieving any content contained therein. Although MCCC has the right to do so, MCCC assumes no obligation or duty to, screen, monitor, edit or review any third-party postings. MCCC generally has the right to monitor or remove any third-party postings at any time and without notice pursuant to these Terms of Use.

Termination

MCCC may discontinue or change the Services, or their availability to you, immediately, in its sole discretion, at any time without cause. MCCC may terminate this Agreement and your access to and use of the Services, or any portion thereof, immediately, in its sole discretion, at any time without cause.

Disclaimer of Warranties

MCCC and the Information Providers furnish the information available in connection with these Services without responsibility for accuracy and you agree that errors or omissions contained in such information shall not be made the basis for any claim, demand or cause of action against MCCC or any Information Provider. MCCC believes the Services (including the information and content therein) to be reliable, but accuracy is not warranted or guaranteed. MCCC may point to other Web sites that may be of interest to you but for which MCCC has no responsibility. The Services includes facts, views, opinions and recommendations of individuals and organizations deemed of interest. Neither MCCC nor the Information Providers guarantees the accuracy, completeness or timeliness of, or otherwise endorses, these views, or opinions.

YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS-IS” BASIS. MCCC AND THE INFORMATION PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

Limitation of Liability

NEITHER MCCC NOR ANY OF ITS MEMBERS, OFFICERS OR INFORMATION PROVIDERS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE DAMAGES, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to defend, indemnify and hold harmless MCCC, its officers and members, from and against all the liabilities, claims, damages and expenses (including reasonable attorney's fees and costs) arising out of your use of this Site; your failure to use the Site; your breach or alleged breach of this Agreement or your breach or alleged breach of the copyright, trademark, proprietary or other rights of third parties.

Disclaimer of Hypertext Links

Neither MCCC nor its contributors are responsible for the content of any off-site pages that are referenced by any links contained on any of our pages. MCCC and its officers and members do not control or guarantee the accuracy, relevancy, timeliness, or completeness of this outside information. Further, the inclusion of links or pointers to particular items of hypertext is not intended to reflect their importance, nor is it intended to endorse any views expressed, or products or services offered, on these outside sites, or the organizations sponsoring the sites.

Miscellaneous

This Agreement constitutes the entire agreement between you and MCCC regarding your use of the Services on the Web Site from which you accessed this Agreement. This Agreement supersedes all previous and contemporaneous oral and written agreements between you and MCCC regarding your use of the Services on the Web Site from which you accessed this Agreement.

You agree that this Agreement and any claims arising from this Agreement will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.

You agree that all of the foregoing terms and conditions shall survive any termination of your right of access to the Services and the materials identified above.
